Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and WanderSafe LLC ("WanderSafe," "we," "us," or "our"), governing your access to and use of the WanderSafe website at wandersafe.com, mobile applications, WanderSafe Beacon 3.0 hardware device, community features, and any related services (collectively, the "Services").

By accessing or using our Services, creating an account, or activating a WanderSafe Beacon 3.0 device, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use our Services.

2. Description of Service

WanderSafe provides a safety intelligence ecosystem designed to protect individuals and organizations through:

• WanderSafe Beacon 3.0: A portable hardware device that provides real-time location tracking, emergency broadcast capabilities, and connectivity with local safety networks
• JENI AI Mobile Application: An AI-powered mobile application that delivers personalized safety intelligence, destination risk assessments, and real-time safety alerts
• Enterprise Portal: A web-based platform for organizations to manage duty-of-care compliance, monitor traveler safety, and generate risk assessment reports
• Master Sage Community: A community-driven safety reporting and validation system where users contribute local safety intelligence and earn Hero Points rewards
• Emergency Broadcast System: An automated system that notifies designated emergency contacts and local authorities when activated by the user or triggered by the Beacon 3.0 device

WanderSafe is a safety intelligence tool and is not a substitute for emergency services. In the event of an emergency, you should always contact local emergency services directly (such as 911 in the United States).

3. User Accounts

3.1 Account Registration

To access certain features of our Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify WanderSafe immediately of any unauthorized use of your account or any other breach of security. WanderSafe will not be liable for any loss or damage arising from your failure to comply with this requirement.

3.3 Account Types

• Individual Accounts: For personal use by individual travelers and community members
• Enterprise Accounts: For organizations that provision accounts for employees, contractors, or members. Enterprise account administrators may have access to certain usage data and location information as described in our Privacy Policy
• Master Sage Accounts: Elevated community accounts with additional privileges for users who meet qualification requirements and complete the verification process

3.4 Age Requirement

You must be at least 16 years of age to create an account and use our Services. By creating an account, you represent and warrant that you meet this age requirement.

4. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services to stalk, harass, threaten, or intimidate any person
• Submit false or misleading safety reports, zone validations, or emergency broadcasts
• Activate the emergency broadcast system for non-emergency purposes
• Attempt to access another user's account or personal information without authorization
• Use the Services to track or monitor any person without their explicit consent
• Reverse engineer, decompile, or disassemble any portion of the Services or Beacon 3.0 device firmware
• Use automated scripts, bots, or scrapers to access or collect data from the Services
• Circumvent, disable, or interfere with any security features of the Services
• Use the Services in any manner that could damage, disable, or impair our infrastructure
• Manipulate the Hero Points system through fraudulent activity or collusion
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Violate any applicable local, state, national, or international law or regulation

WanderSafe reserves the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this provision, including removing content, suspending or terminating accounts, and reporting to law enforcement authorities.

5. Intellectual Property

5.1 WanderSafe Property

The Services and all content, features, and functionality (including but not limited to software, code, designs, text, graphics, logos, icons, images, audio, video, the JENI AI engine, and the WanderSafe Beacon 3.0 hardware design) are owned by WanderSafe LLC, its licensors, or other providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

The WanderSafe name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of WanderSafe LLC. You must not use such marks without our prior written permission.

5.2 User-Generated Content

By submitting safety reports, zone validations, reviews, or other content through our Services ("User Content"), you grant WanderSafe a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with operating and improving our Services and safety intelligence data.

You represent and warrant that you own or have the necessary rights to submit your User Content and that your User Content does not violate the rights of any third party.

5.3 Feedback

Any feedback, suggestions, or ideas you provide regarding the Services shall become the exclusive property of WanderSafe. We may use such feedback for any purpose without obligation or compensation to you.

6. WanderSafe Beacon 3.0 Device

6.1 Hardware Warranty

The WanderSafe Beacon 3.0 device is covered by a limited one-year manufacturer's warranty from the date of purchase. This warranty covers defects in materials and workmanship under normal use conditions. The warranty does not cover damage caused by misuse, modification, water damage beyond the rated IP specification, or unauthorized repair.

6.2 Device Limitations

The WanderSafe Beacon 3.0 relies on cellular, satellite, and Bluetooth connectivity to function. Service availability depends on network coverage in your location. WanderSafe does not guarantee uninterrupted connectivity or signal availability in all locations, including remote areas, indoor environments, or areas with network congestion.

6.3 Firmware Updates

WanderSafe may periodically release firmware updates for the Beacon 3.0 device. Some updates may be required for continued operation of the device and its associated services. By using the Beacon 3.0 device, you consent to the automatic installation of firmware updates.

7. Payments and Subscriptions

7.1 Pricing

Certain features of the Services require a paid subscription or one-time purchase. All prices are displayed in United States Dollars unless otherwise indicated. Prices are subject to change with reasonable advance notice.

7.2 Billing and Auto-Renewal

Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected). By subscribing, you authorize WanderSafe to charge your designated payment method for all applicable fees.

Auto-Renewal: Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current billing period. Your account will be charged for renewal within 24 hours prior to the end of the current period at the then-current subscription rate.

7.3 App Store and Play Store Purchases

If you purchase a subscription through the Apple App Store or Google Play Store, payment will be charged to your Apple ID account or Google Play account at confirmation of purchase. Subscriptions purchased through the App Store or Play Store are subject to the respective store's terms and conditions. You can manage and cancel your subscriptions by going to your account settings on the App Store (Settings > Apple ID > Subscriptions) or Google Play Store (Play Store > Menu > Subscriptions).

7.4 Refunds

Hardware purchases may be returned within 30 days of receipt for a full refund, provided the device is in its original condition and packaging. Subscription fees are non-refundable except as required by applicable law. Pro-rata refunds may be issued at WanderSafe's discretion for annual subscriptions canceled within the first 30 days.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WANDERSAFE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WANDERSAFE DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY SAFETY INTELLIGENCE DATA, RISK ASSESSMENTS, OR ZONE RATINGS PROVIDED THROUGH THE SERVICES.

WANDERSAFE IS NOT A PERSONAL SECURITY SERVICE AND DOES NOT GUARANTEE YOUR SAFETY. THE SERVICES ARE INTENDED TO SUPPLEMENT, NOT REPLACE, YOUR OWN JUDGMENT AND THE SERVICES OF LOCAL EMERGENCY RESPONDERS. NO INFORMATION OR ADVICE PROVIDED THROUGH THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WANDERSAFE, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES
• ANY CONTENT OBTAINED FROM THE SERVICES
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT
• FAILURE OF THE BEACON DEVICE OR EMERGENCY BROADCAST SYSTEM TO FUNCTION AS EXPECTED
• INACCURACIES IN SAFETY INTELLIGENCE DATA OR RISK ASSESSMENTS

IN NO EVENT SHALL WANDERSAFE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE AMOUNT YOU HAVE PAID TO WANDERSAFE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless WanderSafe LLC, its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of any third party
• Any User Content you submit through the Services
• Your misuse of the WanderSafe Beacon 3.0 device
• False or misleading safety reports or emergency broadcasts you initiate

11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting us at legal@wandersafe.com or through your account settings. Upon termination, your right to use the Services will cease immediately. Please note that deleting the app does not cancel any active subscriptions — you must cancel subscriptions through your Apple ID or Google Play account settings.

11.2 Termination by WanderSafe

WanderSafe may suspend or terminate your account and access to the Services at any time, with or without cause and with or without notice, including if we reasonably believe that you have violated these Terms. In cases of suspected fraud or misuse of the emergency broadcast system, WanderSafe may immediately suspend your account pending investigation.

11.3 Effect of Termination

Upon termination, all licenses and rights granted to you under these Terms will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, indemnification, and governing law.

12. Dispute Resolution

12.1 Informal Resolution

Before filing any formal legal action, you agree to attempt to resolve any dispute with WanderSafe informally by contacting us at legal@wandersafe.com. We will attempt to resolve the dispute informally within 60 days.

12.2 Binding Arbitration

If informal resolution is unsuccessful, any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Houston, Texas. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

12.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflict of law principles. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Harris County, Texas, and you consent to the personal jurisdiction of such courts.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly referenced herein, constitute the entire agreement between you and WanderSafe concerning the Services and supersede all prior agreements, understandings, and negotiations.

14.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

14.3 Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. WanderSafe's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without WanderSafe's prior written consent. WanderSafe may assign these Terms without restriction.

14.5 Force Majeure

WanderSafe shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, government actions, power failures, internet or telecommunications failures, or satellite outages.

15. Changes to These Terms

WanderSafe reserves the right to modify these Terms at any time. When we make material changes, we will update the "Effective Date" at the top of this page and notify you via email or through a prominent notice within our Services at least 30 days before the changes take effect.

Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services and terminate your account.
